1. About Us
These Terms & Conditions ("Terms") govern your use of the Nexa Point Group website (the "Site") and our managed IT, cloud, and cybersecurity services (the "Services"). They form a legally binding agreement between you and Nexa Point Group Limited, a company registered in England and Wales (Company No. 16323341), with its registered office at 71–75 Shelton Street, London, WC2H 9JQ ("Nexa Point", "we", "us").
By accessing the Site or using the Services, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, you must not use the Site or Services.
2. Use of the Website
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that breaches applicable local, national, or international law or regulation.
- Transmit any unsolicited or unauthorised advertising or promotional material.
- Knowingly transmit any data, send or upload any material that contains viruses, trojan horses, worms, or any other harmful or malicious code.
- Attempt to gain unauthorised access to any part of the Site, its server, or any connected system or database.
- Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
3. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of Nexa Point Group Limited or its licensors and is protected by United Kingdom and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
Nothing in these Terms grants you any licence to use our trade marks, trade names, or branding.
4. Client Portal
Access to the client portal is restricted to authorised users with valid credentials issued by Nexa Point. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must notify us immediately at info@nexapoint.co.uk if you suspect any unauthorised use of your account.
We reserve the right to suspend or terminate portal access at our discretion, including where we believe security has been compromised.
5. Services
Specific terms governing the provision of our managed IT, cloud, and cybersecurity services are set out in the service agreement or statement of work entered into between Nexa Point and the client organisation. In the event of any conflict between these Terms and a service agreement, the service agreement shall prevail.
We will use reasonable skill and care in providing the Services but do not guarantee that the Services will be uninterrupted or error-free at all times.
6. Limitation of Liability
To the fullest extent permitted by law:
- We exclude all conditions, warranties, representations, or other terms that may apply to the Site or its content, whether express or implied.
- We will not be liable for any loss or damage arising from your use of, or inability to use, the Site or its content.
- Our total liability to you in respect of any losses arising under or in connection with these Terms shall not exceed the greater of £100 or the amounts paid by you to us in the three months preceding the claim.
- We will not be liable for any indirect, special, or consequential loss, including loss of profits, loss of business, or loss of data.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
7. Third-Party Links
The Site may contain links to third-party websites. These links are provided for your convenience only. We have no control over those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.
8. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in that policy.
9. Availability
We do not guarantee that the Site will always be available or uninterrupted. We may suspend, withdraw, or restrict access to all or any part of the Site for business or operational reasons without notice.

11. Governing Law
These Terms, their subject matter, and their formation are governed by the laws of England and Wales. You and we both agree that the courts of England and Wales will have exclusive jurisdiction to settle any disputes arising from or relating to these Terms or your use of the Site.
